Learning outcomes of the curricular unit
The course focuses mainly on offering the student substantial knowledge on each of the syllabus' organizational and entreprise network types. The student should be aware of the most relevant theoretical and practical issues of each of those specific types. The student should namely be able to qualify a specific contract; find the more adequate solution for a real life problem and also to be aware of the advantages and disadvantages of each organizational and entreprise network. Moreover it is intended that the student understands the specificities of contractual networks.
Syllabus
Introduction: Global Economy and enterprises' organizational and cooperation juridical structures. Groups of companies, cooperation contracts and enterprise networks.
I. The organization of enterprise networks («organizational networks»)
1. Juridical structures of cooperation
1.1 Contractual basis: joint-ventures and others
1.2 Institucionalized cooperation: the creation of a new juridical person (for instance ACE)
2. Juridical structures of concentration («corporate networks»)
2.1 Intracorporate control.
2.2 Groups of companies in Portuguese law
II Bilateral contractual networks («market networks»)
1. Contractual networks. Characteristics and regime specificities.
2. A distribution contractual network. The example of franchising.
